             By laws 

                   Adopted February 20, 1998

 

Article 1 – Membership

 

Section 1 – Membership

 

Boat Club Members – Boat club members shall be those members including their spouses

who pay the club any initiation fee and or dues required. Also, boating member and their

spouses have full privileges of the club. May vote and hold office.

 

Article 2 – Membership Procedures

 

Section 1 – To become a member of the club, the name of the member candidate must

be proposed by one member in good standing and endorsed by another member and

one officer.

 

Section 2 – Any member opposed to the acceptance of the new member may state

objections at the time of proposal and the executive committee will decide at their next

regular meeting whether to re-submit the proposal to the membership.

 

Section 3 – Proposed applicants will be voted upon by the membership at the next

regular meeting. Voting will be by ballot.

 

Section 4 – Membership shall start upon receipt of any dues or fees then current.

 

Article 3 – Fees, Dues, Accounts

 

Section 1 – The fees for boat club members shall be $30.00 per year. The yearly dues

are to be paid in August. Members will be notified in newsletter and at the July meeting.

 

Section 2 – Any accounts or real property, personal property, or equipment purchased

by the club and anyone leaving the club for any reason shall forfeit all interest and the

title to such money or property.

 

Article 4 – Election of Officers

 

Section 1 – The officers of the club as provided in this constitution, shall be elected

annually at regular meeting by members in good standing in October becoming officers elect and take office on

January 1st. Outgoing officers will continue duties until then.

 

 

 

 

Article 5 – Duties of Officers

 

Section 1 – The Admiral shall preside at all meetings of the club and the Executive

Committee; Shall call special meetings when necessary; Audit all bills and accounts;

and exercise general supervision over all affairs of the club. The Admiral shall be Ex-

Officio Member of all committees. (tie – breaker)

 

Section 2 – The Vice Admiral shall perform the duties of the Admiral in the Admiral’s

absence. The Vice Admiral shall assist the Admiral when called upon and help

coordinate the efforts of any standing committees.

 

Section 3 – The Rear Admiral shall perform the duties of the Admiral or Vice Admiral

upon their absence and act as Sergeant of Arms at meetings and functions of the club.

 

Section 4  - The Secretary shall keep all records of the proceedings of the club and of

the Executive Committees: Keep a correct roll of membership; Notify members of

meetings and conduct the general correspondence of the club.

 

Section 5 – The Treasurer shall have custody of all monies, securities, records and

papers of the club; Keep a correct account with each member; Collect all accounts due

the club; Pay all bills and accounts incurred by the club; Keep a correct account of all

monies received and disbursed; and render a true statement thereof at every regular

meeting of whenever requested by the club or Executive Committee; and perform other

duties incident to the office.

 

Section 6 -  The At-Large committee shall exercise general control and supervision

over their respective areas of responsibility, and any property or equipment pertaining

thereto.

 

Article 6 – Executive Committee    

 

Section 1 – The Executive Committee shall be composed of the officers of the club as

provided in the constitution.

 

Section 2 -  It shall be the duty of the Executive Committee to exercise general

supervision over the various standing committees and all affairs of the club, to exert

itself for the benefit and advancement of the club to transact, with authority of the club,

such business as shall be required authorization or special attention.

 

Section 3  - Vacancies in the Executive Committee shall be filled temporarily by an

appointee of the Admiral, the rest of the Executive Committee concurring, until such

time as a successor can be elected by the members.

 

Article 7 – Fiscal Year

 

Section 1 – The fiscal year shall run from November 1 to October 31.

Article 8 – Meetings

 

Section 1 – The regular meeting shall be held at 7:30 PM on the 3rd Friday of the

month. Executive Committee meetings at the discretion of the Admiral.

 

Section 2 – Special meetings may be called at the discretion of the Admiral or when a

meeting is requested by three or more Executive Officers.

 

Section 3 – The following order of business shall be observed at all meetings; Call to

order; Reading of the minutes; Reports of the officers; Unfinished business; New

business; and any elections or appointments of officers of committee persons.

 

Article 9 – Quorum

 

Section 1 – Whenever in the transaction of business, action of the club, or officers of

committees is considered, it shall require the approval of the majority of those present

and shall be official if such action is provided in the by-laws and if sufficient members

are present to constitute a quorum.

 

Section 2 – 66 2/3 regular members in person at a club meeting shall constitute a

quorum for the transaction of all business.

 

Section 3 – Four members of the Executive Committee present shall constitute a

quorum at any of it’s meetings.

 

Article 10 – Amendments

 

Section 1 – These by-laws may be amended or changed after notice to each member

of the club and presented at the regular meeting. A two-thirds affirmative vote of

the boating members will be necessary for the passage or change of same. Any by-laws

may be suspended by a unanimous vote of those present. (Boating voters that cannot

be present may vote be proxy.)
